– Web Contract

This Contract (“Contract”) is entered into this 16th day of November, 2023, by and between:

Just Because Media 

a company organized and existing under the laws of Connecticut (“Company”)

YACO International, 

a Non Profit in East Hartford CT, with a principal place of business at East Hartford (“Client”).

RECITALS

WHEREAS, the Company is engaged in the business of providing website development and consultation services;

WHEREAS, the Client desires to engage the Company to revamp its existing website and potentially other website services;

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. SCOPE OF SERVICES

1.1 The Company agrees to revamp the Client’s existing website and to provide ongoing consultation and website services as described in Exhibit A attached hereto (the “Services”).

2. PAYMENT TERMS

2.1 The Client shall pay the Company an initial non-refundable payment of $600 for the website revamp. [Initial Deposit of $300]

2.2 All payments shall be made in accordance with the payment schedule set forth in Exhibit B attached hereto.

3. TERM AND TERMINATION

3.1 This Contract shall commence on the Effective Date and shall continue until terminated by either party with 30 days written notice.

4. CONFIDENTIALITY

4.1 Both parties agree to maintain the confidentiality of all information obtained during the performance of the Services.

5. LIABILITY AND INDEMNIFICATION

5.1 Each party agrees to indemnify and hold harmless the other party from any and all claims, losses, damages, and liabilities arising from the performance of this Contract.

6. MISCELLANEOUS

6.1 This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior understandings and agreements between the parties, whether written or oral, regarding the subject matter hereof.

6.2 This Contract may be amended only by written agreement of the parties.

6.3 This Contract shall be governed by the laws of Connecticut, without regard to its conflict of law principles.

IN WITNESS WHEREOF, the parties hereto have executed this Contract as of the date first above written.
