1. Agreement to Terms

By accessing or using the website and services provided by Just Because Media ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our services.

2. Services

Just Because Media provides digital marketing services including but not limited to social media marketing, search engine optimization (SEO), paid advertising management, content marketing, web design, brand strategy, and marketing consulting. The specific scope of services will be outlined in individual service agreements or proposals provided to clients.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for the delivery of services
• Respond to communications and requests for approval in a timely manner
• Grant necessary access to accounts, platforms, and analytics tools as required
• Ensure that all materials provided to us do not infringe on any third-party intellectual property rights
• Comply with all applicable laws and regulations related to their business and marketing activities

4. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated:

• Invoices are due within 15 days of issuance
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services for accounts with overdue balances exceeding 30 days
• All fees are non-refundable unless otherwise specified in the service agreement

5. Intellectual Property

Unless otherwise agreed in writing, all creative materials, strategies, frameworks, and deliverables produced by Just Because Media remain the intellectual property of the Company until full payment has been received. Upon full payment, clients receive a license to use deliverables for their intended purpose. Our proprietary methodologies, tools, and processes remain the property of Just Because Media.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This includes but is not limited to business strategies, marketing data, customer information, financial details, and any information marked as confidential. This obligation survives the termination of any service agreement.

7. Limitation of Liability

Just Because Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use of our services. Our total liability shall not exceed the total fees paid by the client in the six (6) months preceding the claim. We do not guarantee specific results, rankings, or revenue outcomes, as marketing performance depends on numerous factors beyond our control.

8. Termination

Either party may terminate services with 30 days written notice unless otherwise specified in the service agreement. Upon termination:

• The client is responsible for payment of all services rendered up to the termination date
• We will provide reasonable transition assistance to transfer accounts and assets
• Access to our proprietary tools and platforms will be revoked
• Confidentiality obligations remain in effect

9. Third-Party Platforms

Our services may involve the use of third-party platforms (e.g., Google, Meta, TikTok, LinkedIn). We are not responsible for changes to these platforms' policies, algorithms, pricing, or availability. Clients are responsible for complying with the terms of service of all third-party platforms used in connection with our services.

10. Use of Website

When using our website and online tools, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the website or its systems
• Transmit any harmful code, viruses, or malicious software
• Scrape, copy, or reproduce website content without written permission
• Interfere with the proper functioning of the website

11. Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy. We are committed to protecting your personal data in compliance with applicable data protection laws.

12. Indemnification

You agree to indemnify and hold harmless Just Because Media, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of our services, your violation of these terms, or your violation of any rights of a third party.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms
